This document is a general baseline. Agonix LLC recommends review by a legal professional before treating it as final.

1. Purpose

These Terms govern the use of the Kairós platform, operated by Agonix LLC (Wyoming, USA). By registering or using the service, you accept them.

2. The service

Kairós computes the tax deadlines of US LLCs from the data and documents provided, sends email reminders and offers a dashboard for agencies and clients.

3. Account

You agree to provide accurate data and keep your credentials confidential. You are responsible for your account activity.

4. Plans, pricing and payments

The service is offered in plans based on the number of active LLCs in the portfolio (Starter, Pro, Scale and custom), with a monthly price per tier or a discounted annual payment. There is no setup fee and no lock-in. The tier is set by the active LLCs on the 1st of each month. Current prices are shown on the website and taxes are not included. Payments are handled through Stripe and the subscription renews automatically at the end of each period, monthly or annual. In case of non-payment, new company creation may be blocked and the service suspended.

Pilot: the Operator may offer a free 60-day pilot, with no card required. When it ends, the client chooses to continue on their tier or export their data.

5. Acceptable use

You may not use the platform for unlawful purposes, infringe third-party rights, or carry out scraping or abusive use of the system.

6. Nature of the service and disclaimer

Kairós is an informational calculation tool: it is not tax, accounting or legal advice, it does not file forms with the IRS or the states, and it does not guarantee the accuracy or completeness of the calculations. The user is solely responsible for verifying and filing on time. Dates falling on weekends or public holidays move to the next business day.

7. Limitation of liability

To the extent permitted by law, the Operator is not liable for indirect damages, penalties, surcharges or losses arising from errors or omissions in the calculations or reminders. Maximum liability is limited to the amounts paid by the client in the preceding 12 months.

8. Client data and intellectual property

You retain ownership of your data and documents, which we process according to the Privacy Policy. The platform and its software are owned by the Operator.

9. Term, suspension and cancellation

You may cancel your subscription at any time; it stops renewing at the end of the current period (monthly or annual) and amounts already paid are non-refundable unless the law provides otherwise. After cancellation you may export your data for 30 days. The Operator may suspend accounts for breach of these Terms.

10. Changes and governing law

The Operator may update these Terms with reasonable notice. They are governed by the laws of Wyoming, USA, without prejudice to the user's mandatory rights under their country of residence.
